1. Agreement to Terms

By accessing or using the Stepflow platform ("Service"), operated by Stepflow Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including organization administrators ("Account Owners"), workspace managers, coaches, and learners ("End Users").

2. Description of Service

Stepflow is a learning management and cohort coaching platform that enables organizations to create structured learning experiences, manage learner progress, deliver content, and facilitate communication between coaches and learners. The Service includes features such as learning maps, submission reviews, grading, discussion boards, gamification, analytics, and integrations with third-party services.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your account information remains current and accurate

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period.

4. Account Owner Responsibilities

Account Owners who create organizations on the platform are responsible for:

  • Managing End User access and permissions within their workspaces
  • Ensuring that their use of the Service complies with applicable laws and regulations
  • The content uploaded, created, or distributed through their workspaces
  • Obtaining necessary consents from End Users for data processing
  • Maintaining appropriate data handling practices for their learners' information

5. Acceptable Use

You agree not to use the Service to:

  • Upload, post, or transmit content that is unlawful, harmful, defamatory, or infringing
  • Impersonate any person or entity, or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any purpose that is illegal or prohibited by these Terms
  • Harvest or collect personal information of other users without consent
  • Distribute malware, spam, or other harmful content

6. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Stepflow Inc. and protected by intellectual property laws. You retain ownership of content you upload to the platform, but grant us a limited license to host, display, and process that content as necessary to provide the Service.

Account Owners retain full ownership of their learning content, curriculum, and materials. We do not claim any intellectual property rights over user-generated content.

7. Data Privacy and Protection

We are committed to protecting your privacy. Our collection and use of personal information is governed by our Privacy Policy. Key points include:

  • We collect only the data necessary to provide and improve the Service
  • We do not sell personal information to third parties
  • Account Owners act as data controllers for their End Users' data
  • We implement industry-standard security measures to protect stored data
  • Users may request deletion of their personal data in accordance with applicable law

8. Payment and Billing

Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to modify pricing with reasonable notice.

9. Service Availability and Modifications

We strive to maintain the Service's availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation of the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Stepflow Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Stepflow Inc., its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the agreement at any time. Upon termination:

  • Your right to access the Service ceases immediately
  • We may retain your data for a reasonable period to comply with legal obligations
  • Account Owners may request an export of their data before account closure
  • Provisions that by their nature should survive termination will remain in effect

13. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority in the jurisdiction of Stepflow Inc.'s principal place of business.

14. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. General Provisions

These Terms constitute the entire agreement between you and Stepflow Inc. regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
